These Terms of Use (“Terms”) apply to your use of the websites, mobile applications, learning portals, and web-based software applications operated by US Compliance Institute, LLC and its subsidiaries and affiliates (collectively, “USCI,” “we,” “us,” or “our”) that link to these Terms (collectively, the “Site”).

By accessing or using the Site, you irrevocably agree to the Terms then in effect. If you do not agree, you must not access or use the Site.

We may revise these Terms at any time. Your continued use of the Site following changes constitutes acceptance of the revised Terms.

If you are accessing the Site as an authorized administrator or employee on behalf of a corporate or enterprise customer, and a separate written services agreement governs your organization’s use of our services, that agreement shall control to the extent of any conflict.

Certain Content is provided for informational or educational purposes, including training courses, whitepapers, blog posts, compliance checklists, sample policies, webinars, and downloadable resources (collectively, “Educational Materials”).

You may use Educational Materials solely for your internal business or personal educational purposes, provided that you:

  1. Preserve all copyright, trademark, and proprietary notices.

  2. Do not modify, adapt, translate, or create derivative works.

  3. Do not reproduce, republish, distribute, publicly display, or transmit the Educational Materials beyond internal use.

  4. Do not use Educational Materials, or any data derived from them, to develop, train, improve, or power any artificial intelligence system, machine learning model, compliance technology, or competing product or service.

Any unauthorized use automatically terminates your permission to use the Educational Materials.

USCI provides Educational Materials for informational and training purposes only.

USCI does not provide legal advice, regulatory advice, tax advice, or professional compliance determinations.

Nothing on the Site shall be construed as legal counsel or as creating an attorney-client relationship.

You are solely responsible for obtaining independent legal advice regarding compliance obligations applicable to your organization.

 


 

Site Modification and Discontinuation

We reserve the right to:

  • Modify or discontinue any part of the Site

  • Restrict access to certain features

  • Update or remove Content

with or without notice.

You may discontinue your use of the Site at any time; however, these Terms will continue to apply to your prior use.

 


 

Prohibited Uses

As a condition of your use of the Site, you agree that you will not:

  • Share login credentials or circumvent seat-based licensing controls.

  • Use Site Content to build competing compliance training products.

We reserve the right to investigate suspected violations and pursue legal remedies.

USCI does not control, endorse, or assume responsibility for any Linked Sites.

We disclaim all liability for any loss or damage arising from your use of Linked Sites.

Disclaimer of Warranties

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USCI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • WARRANTIES ARISING FROM COURSE OF DEALING OR PERFORMANCE

USCI DOES NOT WARRANT THAT:

  • The Site will be uninterrupted or secure.

  • Content will be error-free or current.

  • Defects will be corrected.

  • The Site is free from viruses or harmful components.

 


 

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

USCI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR REGULATORY PENALTIES.

IF LIABILITY CANNOT BE EXCLUDED, USCI’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • ONE HUNDRED U.S. DOLLARS ($100), OR

  • THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

YOUR SOLE REMEDY FOR DISSATISFACTION IS TO STOP USING THE SITE.

 


 

Indemnification and Release

You agree to defend, indemnify, and hold harmless USCI and its officers, directors, employees, affiliates, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your violation of these Terms

  • Your misuse of the Site

  • Your violation of applicable law

  • Your infringement of third-party rights

You hereby release USCI from any claims arising out of your use of the Site.

 


 

Binding Arbitration and Class Action Waiver

If a dispute arises between you and USCI relating to these Terms or the Site:

  1. The parties agree to first attempt informal resolution for forty-five (45) days following written notice.

  2. If unresolved, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under the Federal Arbitration Act.

  3. Arbitration shall take place in [Insert State].

  4. Claims may be brought only in an individual capacity and not as part of any class, collective, or representative action.

The arbitrator’s decision shall be final and binding.

 


 

Governing Law; Limitation Period

Entire Agreement; Severability

These Terms, together with our Privacy Policy, constitute the entire agreement regarding your use of the Site.

If any provision is found unenforceable, it shall be limited to the minimum extent necessary and the remainder shall remain in effect.
